APEX Property Tax Portal Terms of Use
Version 1.9. Effective 2026-10-01.
1. Scope and precedence
These terms cover your use of APEX Property Tax Portal at https://gadsden.flcounty.com (the "portal"). Resilionics LLC ("Resilionics", "we", "us") builds and operates the portal under contract to the Gadsden County Tax Collector (the "county").
Two sets of rules apply to you here. These terms and our Privacy Policy govern the portal software. The county's own policies and Florida law govern county records, taxes, fees and how the county does its work. You can read the county's policies at https://www.gadsdentaxcollector.com.
If these terms conflict with the county's policies or with Florida law on any question about county records or county business, the county's policies and Florida law control.
2. Acceptance and changes
You agree to these terms by using the portal. By signing in or registering, you agree to these terms. Where the portal asks you to accept these terms as a step in registration, we record the version you accepted, the date and time, and the network address you used.
We may change these terms. When we do, we will post the new version on the portal with a new version number and effective date. If you keep using the portal after the effective date, the new terms apply to you. If you do not agree, stop using the portal and contact the county for other ways to do business with it.
3. Your account
To create an account you must be at least 18 years old, or be authorized to act for a business or other organization.
Keep your sign-in details private. You are responsible for activity under your account. Tell the county right away if you think someone else has used it.
Register one account per person or organization unless the county tells you otherwise.
The county decides whether to approve a registration, and what your account is allowed to do. We may suspend an account for abuse of the portal, as described in section 13.
4. What you submit
Everything you submit through the portal must be true and complete to the best of your knowledge.
Many county forms include a declaration that you sign under penalty of perjury. That declaration has the same force when you complete the form through the portal as it would on paper.
Information you submit to the county may be a public record under Florida law. Our Privacy Policy explains what this means.
5. Payments
Payments made through the portal are processed by a payment processor. Your payment card details go to the processor, not to us, and the processor's own terms apply to that part of the transaction.
If a convenience fee applies, the portal shows the fee amount before you confirm the payment.
The county decides when a payment counts as made for purposes of due dates, discounts, penalties and interest. The portal may show you a confirmation right away, but the county's records control the date and amount.
If your payment is returned or reversed, county rules decide what happens next. This can include returned-payment fees, reinstated penalties or interest, and reversal of any receipt or certificate the payment produced.
The portal will only schedule a future or recurring payment if you authorize it separately at the time you set it up. You can cancel a scheduled payment in the portal before the processor begins to process it.
6. Electronic records and signatures
Where the portal needs it, it asks for your consent to receive records electronically and to sign electronically. That consent is given separately from these terms, at the point where the portal needs it. Parts of the portal that do not need it work without it.
You can withdraw your consent to electronic delivery at any time by contacting the county. Withdrawing consent does not undo anything you already signed or received. Where the county offers a paper option, you can ask the county for it.
7. The assistant
The portal includes Sojo, an automated assistant operated by Resilionics for the county. It is not a person and not county staff, and it can make mistakes. It is not an official channel: nothing you type to it is a filing, a payment, a notice, an appeal or any other submission to the county. Read How Sojo works before you use it.
8. Acceptable use
When you use the portal, do not:
- try to reach accounts, data or systems you are not authorized to use;
- collect data with automated tools beyond ordinary use of the portal;
- upload files that contain malware or other harmful code;
- pretend to be another person or organization;
- use the assistant to probe, overload or attack the service.
9. Ownership
The portal software and its design belong to Resilionics or its licensors. Content the county provides, and county records, including your tax, property and business records, are the county's. Your rights in your own information are not affected by these terms.
We grant you a limited license to use the portal for its intended purpose: doing business with the county. You may not copy, change, sell or reverse engineer the software.
Nothing in these terms limits your rights under Florida public records law.
10. Third-party services
The portal relies on services run by others, such as the payment processor, mapping and address lookup, translation, and app stores. Each of those services has its own terms, and those terms apply to the part of the portal that service provides. We do not control those services.
12. Disclaimers and limitation of liability
The portal is provided "as is" and "as available." We do not promise that it will always be available, free of errors or free of interruptions. Tax amounts, due dates and account status shown on the portal come from county records. If the portal and the county's official records differ, the county's records control.
The portal may be unavailable at times for maintenance, outages or reasons outside our control. We do not compensate for unavailability or interruptions. The county's rules on due dates, discounts, penalties and interest still apply, and you remain responsible for meeting them through the other channels the county offers if the portal is unavailable.
To the extent Florida law allows, Resilionics is not liable to you for indirect, incidental or consequential loss, including lost profits, lost data, penalties, interest or lost discounts.
This section does not limit the county's obligations to you under Florida law. It does not limit any liability that Florida law does not allow to be limited, including your rights under the Florida Deceptive and Unfair Trade Practices Act, section 501.204, Florida Statutes. It does not apply to harm caused by our fraud or willful misconduct.
13. Suspension and termination
We may suspend or end your access to the portal if you break these terms, if the county asks us to, or if we need to protect the service or other users. Where we can, we will tell you why. Suspension of your portal access does not change your rights or duties toward the county. You can still do business with the county through the other channels it offers, such as in person, by mail or by phone.
You may stop using the portal at any time. To close your account, contact the county. County records about you are kept under the county's retention schedule, not deleted on request.
14. Governing law and venue
Florida law governs these terms. Any court action about these terms must be brought in the state courts located in Gadsden County, Florida. These terms contain no arbitration requirement and no class-action waiver.
15. Contact and general terms
Questions about these terms: Resilionics LLC, PO Box 16234, Jacksonville FL 32245, privacy@resilionics.com.
Questions about your taxes, records or account: Gadsden County Tax Collector, 16 S CALHOUN ST, QUINCY FL 32351, (850) 627-7255, twigginsmcgriff@gadsdenfltax.us.
If any part of these terms cannot be enforced, the rest still applies.
The portal may offer machine translation. If a translation differs from the English text, the English text controls.
These terms and our Privacy Policy govern your use of the portal software. They sit alongside, and do not replace, the county's own documents, any consent you give for electronic records or signatures, any payment authorization you give, and any agreement you sign for a specific transaction such as a bidder registration.
